1. Definitions
"Customer" means the business entity that registers for the Services. "Services" means the SaaS products, software, and related services we provide.
2. License
Subject to these Terms and payment of applicable fees, we grant Customer a limited, non-exclusive, non-transferable right to access and use the Services for Customer's internal business purposes during the subscription term.
3. Customer Obligations
- Customer is responsible for user access, credentials, and activity within their account.
- Customer must comply with applicable laws and not use the Services for illegal activities.
- Customer will obtain any necessary consents for the data they upload to the Services.
4. Fees & Payment
Fees, billing cycles, and accepted payment methods are set out in the order form or invoice. All fees are non-refundable except as required by law or as expressly stated. We may suspend or terminate access for overdue payments.
5. Subscription Term & Termination
Subscriptions auto-renew for the same term unless cancelled. Either party may terminate for material breach if the other fails to cure within a stated period. On termination, Customer data will be handled according to our DPA and deletion policies.
6. Proprietary Rights
We retain all rights, title, and interest in the Services, software, and underlying intellectual property. Customer retains ownership of Customer Data uploaded to the Services.
7. Confidentiality
Each party agrees to keep the other's confidential information secure and to use it only as permitted by these Terms. Confidential information excludes information that is public, independently developed, or rightfully received from a third party.
8. Warranties & Disclaimers
We provide the Services "as is" and disclaim all warranties except those expressly stated. We do not warrant that the Services will be uninterrupted or error-free. Customer's sole remedy for breach of warranty is as set out in these Terms.
9. Limitation of Liability
Except where prohibited by law, our liability is limited to direct damages up to the aggregate fees paid by Customer in the 12 months preceding the claim. We are not liable for indirect, special, incidental, or consequential damages.
10. Data Protection
We process Customer Data in accordance with our Privacy Policy and any Data Processing Addendum (DPA). Customers who require a DPA may request one via support@zyracorp.com.
11. Support & SLA
Support levels and service availability are described in the applicable order form or SLA. We aim for high availability but do not guarantee uninterrupted service except where an SLA applies.
12. Governing Law & Dispute Resolution
These Terms are governed by the laws specified in the order form (or [Your Jurisdiction]). Disputes will be resolved by arbitration or courts as set out in the order form or herein.
13. Changes to Terms
We may update these Terms for legal, technical, or business reasons. Material changes will be communicated and may require explicit acceptance for new subscriptions.
